1. Consent to Online Support.
You hereby understand, acknowledge and agree that in order for Carl Zeiss Microscopy, LLC (“Zeiss”) technicians to provide you with the highest quality of service and support, they may require remote access to your computer by means of a remote online support connection. Once an online support connection is established, the technician may have access to all information, data, software, and any files stored on your computer. You hereby agree to grant them such remote access for the purpose of analyzing problems, resolving problems and/or providing training or guidance as requested by you. The remote access to your computer will be conducted by your consent and under your supervision. You will be able to monitor the work conducted by Zeiss technicians, and you will be able to terminate the remote session at any time. You further acknowledge that the internet is an insecure environment. As a result, electronic communications and other data may be accessed by unauthorized third parties when communicated between you and Zeiss, and downloads may contain computer viruses, disabling codes, worms or other devices or defects. Prior to using online support, you are solely responsible for adequate protection and backup of your data, software and/or hardware. Also, it is your sole responsibility to take appropriate and adequate precautions to ensure the compatibility and security of your system before using online support. You understand and acknowledge that Zeiss will not be responsible for any software, hardware or system damages, lost data, inaccurate output or work delays resulting from an online support session.
2. Third Party Technology and Service Disclaimer.
Zeiss provides online support by and through technology created, owned and controlled by Citrix Online LLC. (“Third Party”). This technology includes software, applets, servers and other devices owned and controlled by Third Party (“Third Party Technology”). The Third Party Technology enables the communication connection, initiates firewall connections, enables Zeiss personnel to manipulate and control any screen elements or applications on your computer and provides encryption of the communication between you and Zeiss. Zeiss does not participate in the management of, or exercise any operational control over the Third Party or the Third Party Technology. Zeiss disclaims any liability arising from the Third Party’s acts or omissions or arising from the Third Party Technology, and you hereby acknowledge that you use the Third Party Technology at your own risk. Should you have questions or concerns regarding the Third Party Technology, please contact a Citrix Online representative before initiating the online session.
3. Consent to Use of Data.
In order for your Zeiss technical support professional to effectively provide online support, Zeiss may collect and use technical information gathered during an online support session. Any data or information that Zeiss collects in delivering online support will be used strictly for the purpose of resolving technical issues. You explicitly authorize Zeiss and/or its designated agent to access and utilize such information for this purpose.
4. Disclaimer.
Online support services, and all other documents, products, software, downloads, services, advice and information provided by Zeiss, and the Third Party Technology are provided “as-is,” without warranty of any kind, and any use of online support is at your own risk. To the maximum extent permitted by applicable law, Zeiss disclaims all warranties and conditions, either express or implied, including, but not limited to, implied warranties and conditions of merchantability, fitness for a particular purpose, title, and non-infringement. Zeiss does not warrant or make any representations regarding online support services or the results of an online support session in terms of its correctness, accuracy, reliability, or otherwise. No verbal or written information or advice given by Zeiss or its authorized representatives shall be construed as a warranty.
5. Liability.
With the exception of legal provisions that may not be restricted by these Terms of Service, Zeiss will not be liable for any special, incidental, indirect, or consequential damages whatsoever (including, without limitation, damages for loss of business profits, business interruption, loss of business information, or any other pecuniary loss) arising out of the use of or inability to use online support services. Should any provision of these Terms of Service or any part thereof be or become invalid or unenforceable, that provision or part thereof shall be replaced by such provision which adheres as closely as possible to the intent and the agreement of the parties set forth herein.
